Wholesale/Trade Terms and Conditions
Welcome to Toka Ceramics!
These Terms and Conditions govern the wholesale and trade relationship between Toka Ceramics and our wholesale and trade partners.
By placing an order, you agree to abide by these terms.
Definitions
- We, us, and our refer to Toka Ceramics (ABN: 78 130 418 426).
- You, your, retailer, reseller, and stockist refer to the wholesale or trade purchaser of the products.
- Agreement refers to these Wholesale/Trade Terms and Conditions.

Wholesale and Trade Account Application Process
If you wish to open either a Wholesale or Trade account with Toka Ceramics, you must submit the appropriate Account Application Form.
The decision to approve or decline your application lies solely with us.
We reserve the right to reject any application without providing a reason, and we will not be held liable for any decisions made regarding your application.
Before placing your first order, your application must be approved, which can take up to 5 business days.
Approval may be granted with specific conditions; in such cases, your approval will only be effective upon your written acceptance of those conditions.
As a general guideline, we may not approve applications from retailers in geographic areas where our products are already adequately represented. Proximity to existing stockists is a key factor in the approval process; however, trade accounts do not have geographic restrictions.

Pricing
Wholesale Account
Authorised account holders receive a maximum of 40% off the retail price, plus the cost of shipping.
- First-time Orders: The minimum order value for first-time wholesale customers is $400 AUD.
- Subsequent Orders: The minimum order value for subsequent orders is $200 AUD.
Trade Account
Authorised account holders receive a maximum of 25% off the retail price without any conditions (no minimum order quantities apply), plus the cost of shipping.
Pricing Structure
The current Toka Ceramics retail pricing is set out on our website.
Toka Ceramics reserves the right to change pricing structures without prior notice.
It is the responsibility of the wholesale partners to ensure they are aware of the current recommended retail pricing structures.
Goods purchased from Toka Ceramics Wholesale shall not be sold for less than the suggested retail price. However, if a reseller decides to offer seasonal sales, they may do so at their discretion, provided that the sale price does not fall below a minimum of 20% off the suggested retail price.
How to Place an Order
Orders can be placed through the wholesale/trade section of our website using your approved account holder login details.
Order Processing and Shipping
- All orders will be processed within 7 business days following receipt of payment.
- Shipping costs will be calculated based on the size of the order and its destination.
- The final order price, including shipping costs, will be detailed on the invoice.
- Deliveries cannot be made to PO Boxes.
- Toka Ceramics is not responsible for any shipping delays that occur after your order has been dispatched.
Delivery charges are non-refundable unless required by Australian Consumer Law, and these charges are subject to change without prior notice.
You are responsible for accurately entering all requested order information, including delivery address details. Any errors may result in delivery delays or the receipt of unwanted items, for which you will be liable, including associated delivery charges. If a delivery is returned to us as undeliverable, a re-dispatch fee will apply.
Resale Restrictions
- Resellers are permitted to sell Toka Ceramics products exclusively through their own brick-and-mortar stores and websites, and must not be resold via third-party websites or locations, including but not limited to eBay, Etsy, Facebook, Gumtree, Ozsale, and Amazon.
- Toka Ceramics is not a drop shipping supplier; our products must not be drop shipped.
Returns and Exchanges
We accept returns for damaged or faulty items only.
Claims must be made within 7 days of receipt of the order.
To initiate a return, please contact us at hello@tokaceramics.com.au with your order details and a description of the issue, including photography of damaged products.
Nature of Products
Colour and Product Variations
Due to differences in computer screens and monitors, the colours displayed on our website may not accurately represent the actual products.
We cannot guarantee the precision of colours shown, and any discrepancies between the colour on your device and the physical product will not be grounds for requesting a refund or exchange.
Additionally, as many of Toka Ceramics' products are made from natural materials and handcrafted, individual items may exhibit variations.
We do not guarantee that products will precisely replicate the features shown in showroom or electronic images.
Limitation of Liability
Toka Ceramics will not be liable for any indirect, incidental, or consequential damages arising from the use of our products or services.
Confidentiality
All terms and conditions, pricing for orders, and communications with Toka Ceramics are confidential. They must not be shared with any third parties without Toka Ceramics’ consent. This includes, but is not limited to, the sharing of access credentials and passwords to the Toka Ceramics website.
Governing Law
These terms and conditions are governed by the laws of the State of New South Wales, Australia. Both Toka Ceramics and the stockist submit to the non-exclusive jurisdiction of the courts of New South Wales.
Account Termination
If wholesale/trade account holders breach these Terms and Conditions, Toka Ceramics reserves the right to terminate the account.
